Clear rules for demo, testing and software operation.
These General Terms and Conditions (GTC) regulate the use of Frisys, a salon software from Constantin Härle, as well as the use of the website, demo and test offers. A specific paid scope of services only arises through an expressly confirmed offer or contract.
1. Provider and scope
The provider is Constantin Härle, Bayerische Straße 15, Berlin, Germany, email constantin.haerle@outlook.de. These General Terms and Conditions apply to companies, self-employed people and other commercial users. They only apply to consumers if this is expressly agreed and mandatory consumer protection regulations remain unaffected.
2. Conclusion of contract
The product pages describe the functions and possible uses of Frisys. The agreed scope of services results from the confirmed offer. A contract is concluded by confirming an offer or completing an ordering process.
Demo and test access can be limited in time, functionality or quantity. They are used to test the product and may not be used for production-critical processes unless this has been expressly approved.
3. Scope of services
The specific scope of services results from the confirmed offer, the package booked and the additional services mentioned there. If activated, this can include calendars, online booking, customer management, communication, emailing, roles, reports, payments, goods, AI and document functions.
Optional third-party integrations require appropriate accounts, permissions, contracts, and configurations. A third-party integration may be modified, paused, or discontinued for security, legal, or technical reasons.
4. Access and Authorized Users
The contractual partner must keep access data secret, carefully select authorized users and regularly check roles and authorizations. Access data may not be shared. Security incidents, failed attempts and unauthorized access must be reported immediately.
The contractual partner ensures that its employees and other users receive the necessary data protection information and consent. He is responsible for the legality of the content, recipient lists and messages he enters.
5. Emailing and marketing
Frisys may only trigger emails via a shipping account that is connected or expressly approved by the authorized user. The contractual partner must check recipient addresses, consents, unsubscribes and legal requirements for advertising themselves. Frisys does not owe any delivery, specific inbox placement, or ongoing availability of a third-party mail account.
6. Customer data and data protection
The contractual partner remains responsible for the customer, employee and business data he enters. If Constantin Härle processes this data on behalf of the parties, the parties conclude an order processing agreement before productive use. The contractual partner may not enter any data for which it lacks the necessary legal basis or authority to issue instructions.
The details can be found in the Privacy Policy, the contract documents and the order processing agreement. Statutory retention obligations, particularly for booking, sales and financial data, remain unaffected by a deletion request.
7. Prices and Payment
Prices, billing period, payment method, start of service and possible additional costs result from the respective offer or ordering process. Variable costs for payment providers, SMS, hardware, TSE, import or setup will be shown before the conclusion of the contract if they arise.
Invoices must be paid within the specified period without deductions. In the event of late payment, statutory default interest may be charged and access may be restricted after prior reasonable notice. Mandatory rights of the contractual partner remain unaffected.
8. Obligations and Prohibited Uses
In particular, illegal content, spam, deception, unauthorized intrusion, circumvention of security measures, excessive automated access, uploading of malware and use of content that violates the rights of third parties are prohibited. In the event of a significant violation, access may be temporarily blocked if this is necessary to protect the platform or other users.
9. Availability, Maintenance and Changes
Frisys is used with reasonable care. Uninterrupted availability is only guaranteed if this is expressly agreed in a contract. Maintenance, security updates, third-party disruptions and force majeure may result in limitations. Significant changes to the scope of services agreed upon for a fee will be announced in good time; Mandatory legal rights remain unaffected.
10. Rights to Content and Software
Frisys, the software, design, texts, trademarks and technical components remain the property of Constantin Härle or the respective rights holders, unless otherwise stated. The contractual partner receives a simple, non-transferable right of use to the agreed extent for the duration of the contract. The contractual partner's own content and data remain with him; he grants the usage rights necessary for operation, security and support.
11. Liability
Constantin Härle is liable without limitation in the event of intent, gross negligence, injury to life, body or health, as well as in accordance with mandatory product liability law. In the case of simple negligence, Constantin Härle is only liable for breach of essential contractual obligations and is limited to the foreseeable, typical damage. Otherwise, liability is excluded to the extent permitted by law. Liability for data loss requires that the contractual partner has created appropriate backup copies.
12. Term and Termination
The term, notice period and extension result from the respective offer. The right to extraordinary termination for good cause remains. After the end of the contract, the agreed data export is made possible; data will then be deleted in accordance with the contract, order processing agreement and legal obligations.
13. Changes to these Terms and Conditions
Changes will be communicated to the contractual partner in text form. In the event of significant changes, a reasonable period of time is granted for objection. If consent is required by law, it will be expressly obtained. The current version is below Frisys.de/agb/ available.
14. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection regulations of the country in which a consumer has his or her habitual residence remain unaffected. If the contractual partner is a merchant, a legal entity under public law or a special fund under public law, the legal place of jurisdiction is decisive unless another place of jurisdiction has been effectively agreed.
Constantin Härle is currently neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
